These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. The arbitration shall take place in Delaware. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm.
13.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
13.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and GPTree regarding the Service and supersede all prior agreements and understandings.
13.3 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or any rights hereunder without your consent.
13.4 Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or failures of third-party services or infrastructure.
13.5 Export Restrictions
You agree to comply with all applicable export control laws and regulations. You may not use or export the Service in violation of any export restrictions or embargoes.
13.6 Third-Party AI Provider Compliance
You are responsible for ensuring your use of the Service complies with the terms of service of any third-party AI providers whose services you access through GPTree. Violation of third-party provider terms may result in termination of your access to those services.
